1Shopista Maldives as an Intermediary Marketplace

Shopista Maldives provides an online marketplace platform that allows independent third-party sellers ("Vendors") to list, market, and sell their products, and buyers ("Buyers") to browse and purchase those products.

2User Accounts and Eligibility

• Eligibility: To create an account, you must be at least 18 years old or accessing the site under the supervision of a parent or legal guardian.
• Account Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
• Account Security: You are entirely responsible for maintaining the confidentiality of your account password and activity. You must notify us immediately of any unauthorized use of your account.

3Terms for Buyers

• Purchases and Pricing: When you buy an item, you agree to pay the stated price, applicable delivery fees, and any local taxes. Prices are set by the individual Vendors and may change without notice.
• Order Acceptance: Vendors reserve the right to refuse or cancel any order for reasons including product unavailability, inaccuracies in product details, or suspicion of fraudulent activity.
• Delivery: Delivery timelines are estimates. Responsibility for shipping and delivery lies with the Vendor or the assigned third-party courier service, not Shopista Maldives directly.

4Terms for Vendors

• Vendor Registration: Vendors must submit valid business registration, contact details, and banking information to be approved to sell on the platform.
• Product Listings: Vendors are solely responsible for the accuracy, legality, and quality of the products they list. Prohibited items (e.g., counterfeit goods, illegal substances, or items violating Maldivian law) are strictly forbidden.
• Commission and Fees: Shopista Maldives charges a marketplace commission or subscription fee on sales, as outlined in the separate Vendor Agreement. Earnings will be disbursed to the Vendor's registered bank account after deducting applicable platform fees.
• Customer Service: Vendors must adhere to the platform's standards for communication, order fulfillment speed, and dispute resolution.

5Prohibited Activities

When using Shopista Maldives, you agree not to:

• Violate any local laws of the Republic of Maldives or international regulations.
• Infringe upon the intellectual property rights of Shopista Maldives, other users, or third parties.
• Post false, misleading, defamatory, or abusive content.
• Circumvent the platform's payment architecture by completing transactions outside Shopista Maldives to avoid commission fees.
• Deploy viruses, malware, or scraping tools that harm or compromise the security of the Platform.

6Returns, Refunds, and Disputes

• Return Policies: Each Vendor may establish their own return or exchange policies, provided they comply with the Consumer Protection laws of the Maldives and Shopista Maldives’ baseline marketplace standards.
• Dispute Resolution: In the event of a dispute between a Buyer and a Vendor (e.g., non-delivery, damaged items), the parties should first attempt to resolve it directly. If an agreement cannot be reached, Shopista Maldives may intervene as an arbitrator to make a final, binding decision regarding refunds or payouts.

7Intellectual Property

All content included on the Website—such as text, graphics, logos, software, and overall platform layout—is the property of Shopista Maldives or its content suppliers and is protected by copyright and intellectual property laws. You may not copy, reproduce, or distribute any part of the website without explicit written consent.

8Limitation of Liability and Indemnity

• As-Is Basis: The Platform is provided on an "as is" and "as available" basis without warranties of any kind.
• Limitation: To the maximum extent permitted by law, Shopista Maldives shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the platform, vendor misconduct, product defects, or delivery failures.
• Indemnity: You agree to indemnify and hold harmless Shopista Maldives, its officers, and employees from any claims, damages, or legal expenses arising from your violation of these Terms of Use.

9Termination of Use

We reserve the right, without notice and at our sole discretion, to terminate or suspend your account and access to the Platform for conduct that we believe violates these Terms of Use, harms other users, or is detrimental to the business interests of Shopista Maldives.

10Governing Law

These Terms of Use shall be governed by, construed, and enforced in accordance with the laws of the Republic of Maldives. Any legal disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Malé, Maldives.
